1. The agreement
These Terms of Service (“Terms”) are an agreement between you and Sharker Technology Pte. Ltd. (“SharkerTech”, “we”, “us”), a company incorporated in Singapore (UEN 201432236W). They govern your access to and use of the Service.
You accept these Terms when you create an account, click to accept them, or use the Service. If you accept them on behalf of a business or other organisation, you confirm that you have authority to bind it, and “you” means that organisation. If you do not agree, do not use the Service.
The Service is for business use only. It is not offered to consumers, and you must be at least 18 years old to use it. By accepting these Terms, you confirm that you are acting for the purposes of a trade, business or profession.
Our Privacy Policy explains how we handle personal data and forms part of these Terms. If we agree an order form or other signed document with you, it also forms part of the agreement.
2. Definitions
- “Service” means the easySales applications, websites, application programming interfaces, AI features, documentation and related services we provide, including any beta features.
- “Your Data” means the data, files and content that you or your Users submit to the Service, such as records of your customers, contacts, quotations, invoices, payments and credit notes. It does not include Usage Data.
- “Usage Data” means technical and operational information about how the Service is accessed and performs, such as sign-in events, feature usage, device and browser information, error logs and performance measurements.
- “User” means a person you allow to use the Service under your account, such as an employee or contractor.
- “Administrator” means a User you give administrative rights to manage your account, Users and settings.
- “AI Output” means suggestions, drafts, summaries, answers and proposed actions generated by an AI feature.
- “Access Token” means a personal credential a User creates in the Service to let another application, including an AI tool, access the Service on that User’s behalf.
3. The Service
- easySales helps businesses manage customers, contacts, quotations, invoices, payments, credit notes and related sales work, including AI-assisted features.
- We continually develop the Service and may add, change or remove features, limits and supported browsers or integrations at any time. If we remove a material feature from a paid plan during its paid term, we will give you reasonable notice.
- We may set reasonable limits on use, such as storage, numbers of records, message volumes, rates of requests and AI usage, to protect the Service for all customers.
- The Service performs calculations and produces documents from the data, rates and settings you provide. You are responsible for checking that the documents you issue, including their amounts, taxes, exchange rates and legal content, are correct and comply with the laws that apply to you.
- The Service is not a substitute for records you are required by law to keep. Keep your own copies of records you must retain, for example for tax purposes, using the export tools in the Service.
4. Beta access
While the Service, or any feature, is labelled beta, preview or early access:
- we decide who may join, may limit the number of accounts or Users, and may end any invitation or beta account, as described in section 13;
- the Service is provided for evaluation and may contain errors, may change substantially and may be withdrawn;
- no service level, uptime commitment or support response time applies, and scheduled or unscheduled maintenance may happen without notice;
- data created during the beta may need to be migrated, reset or converted as the Service changes. We will take reasonable steps to preserve Your Data and will tell you in advance if we cannot carry it forward; and
- we may ask for your feedback, and section 12 applies to feedback you give.
Beta access, and any feature we label as beta, is provided free of charge unless we tell you otherwise. Plans and fees for the Service are set out in section 10.
5. Accounts and administrators
- You must give accurate account information and keep it up to date, including the email address of at least one Administrator.
- Each login and each Access Token belongs to one person and must not be shared. You are responsible for keeping sign-in details and Access Tokens confidential and for all activity under your account, including activity through an Access Token.
- Your Administrators control your account. They can add and remove Users, set their permissions, grant or withdraw AI access, view and manage Your Data, and export or delete it. We may rely on instructions from an Administrator as your instructions.
- You are responsible for your Users’ compliance with these Terms and for removing access when a User leaves or no longer needs it.
- Tell us promptly through our contact form if you suspect unauthorised access to your account or an Access Token. We may disable a login or Access Token that we reasonably believe is compromised.
- Verification by text message. To create a free-trial account we verify the mobile number you give by sending a one-time code by text message (SMS). By entering the number and asking for the code, you confirm that the number is yours (or that you are authorised to use it) and you agree that we may send you that message and any resend you request. These messages are sent only to verify sign-up, are in English, and are not marketing. You opt in to them on our sign-up page to receive verification messages from easySales, powered by AWS Notify. Message frequency varies. Message and data rates may apply for any messages sent to you from us and to us from you. Text HELP for help. Text STOP to cancel. Carriers are not liable for delayed or undelivered messages. If you have any questions about your text plan or data plan, contact your wireless provider. For all questions about the Service, email [email protected]. If you have questions regarding privacy, please read our Privacy Policy. Because the number is used to prevent a free trial being repeated, a number that has already been used for a trial cannot be used again.
- Billing. Administrators can subscribe, change or cancel a Plan, and see billing information. If you subscribe for a company, you confirm that you are authorised to bind it to these Terms and to pay for the subscription.
6. Acceptable use
You may use the Service for your internal business purposes, including managing work you do for your own clients. You must not, and must not allow anyone else to:
- resell, sublicense, rent, lease or otherwise make the Service itself available to third parties, except as these Terms allow;
- copy, modify, translate or create derivative works of the Service, or decompile, reverse engineer or attempt to obtain its source code, except to the extent the law expressly permits despite this restriction;
- access the Service by automated means other than the interfaces and Access Tokens we provide, or exceed or work around usage limits, permissions or security controls;
- probe, scan or test the vulnerability of the Service, or perform load testing, without our prior written permission;
- introduce malicious code, or interfere with or disrupt the integrity, security or performance of the Service or other customers’ use of it;
- use the Service to break the law, infringe others’ rights, deceive or defraud anyone, or store or send content that is unlawful, defamatory or that you have no right to use;
- send unsolicited commercial or bulk messages, or messages that do not comply with anti-spam and marketing laws;
- store full payment card numbers in the Service, or store national identification numbers, health information or similar sensitive data unless the law allows you to collect it and you need it for your use of the Service;
- use the Service to build or benchmark a competing product, or copy its features, design or content for that purpose; or
- use the Service in breach of export control or sanctions laws.
Messages you send through the Service, such as quotations and invoices emailed to your customers, are sent on your behalf and you are their sender. We may pause sending from your account if bounce or complaint rates suggest a problem. To report misuse of the Service, use our contact form.
7. Your data
- Ownership. As between you and us, you own Your Data. We claim no ownership of it.
- Our permission to use it. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process and display Your Data, and to allow our service providers to do so, only as needed to provide, secure, maintain and support the Service, to act on your and your Users’ instructions, and to comply with the law.
- Your responsibility. You are responsible for the accuracy, quality and legality of Your Data, and for having the rights, notices and consents needed to collect it, put it into the Service and let us process it under these Terms. This includes personal data about your customers, contacts and Users.
- Personal data. For personal data in Your Data, we act as your data intermediary (processor). We process it on your behalf and in line with these Terms and the Privacy Policy. A data processing agreement is available on request by email to [email protected].
- Our access. Our staff access Your Data only when needed to provide support you request, to keep the Service secure and working, or to comply with the law.
- Usage Data. We may collect Usage Data and use it to provide, secure, support and improve the Service. We may also create aggregated or de-identified information from Usage Data and from your use of the Service, and use it for any lawful purpose, provided it does not identify you, your Users or any individual. We own Usage Data and that aggregated or de-identified information.
- Legal requests. If a government authority or court requires us to disclose Your Data, we will, where the law allows, tell you first so that you can seek to object.
- Export and deletion. You can export Your Data while your account is active. After your account is closed, we keep Your Data for 180 days and then delete it, as described in our Privacy Policy; we e-mail your Administrators before the deletion, normally 30 days and 7 days before it, and always at least 7 days before it. To export Your Data during that time, contact us and we will reopen your account in a suspended state so that your Administrators can sign in and export it. We have no obligation to keep Your Data after that.
8. AI features
- AI features generate AI Output from your instructions and from Your Data that the signed-in User is allowed to access. AI Output is produced automatically and can be incomplete, out of date or wrong, even when it looks confident.
- Review AI Output before relying on it or sending it to anyone. Where an AI feature proposes to create, change or issue a record, it waits for the User’s confirmation. You are responsible for actions a User confirms, and for AI Output you use, publish or send.
- AI Output is not legal, tax, accounting, financial or other professional advice.
- Similar instructions may produce different AI Output for different customers, and AI Output may resemble content produced for others. We do not claim ownership of AI Output generated from Your Data.
- AI features are processed with the help of service providers. We may change the providers, models and capabilities behind AI features, and may apply usage limits to them.
- If a User connects an AI tool or other application to the Service with an Access Token, that application acts with the User’s permissions. Data it reads leaves the Service at the User’s direction and is handled under that application’s own terms. We are not responsible for that application, what it does with the data, or actions it takes with the Access Token. Users can disconnect an Access Token at any time, and Administrators can turn AI access off.
9. Third-party services
We rely on third-party providers for hosting, content delivery, security, email delivery, AI processing and payments. The Service may also let you connect third-party products, such as AI tools, accounting software or e-invoicing networks. Third-party products you choose to use are provided by their suppliers under their own terms, and we are not responsible for them, for their availability, or for changes that stop them working with the Service. If you enable a third-party product, you authorise us to exchange Your Data with it as needed for the connection.
10. Fees and subscriptions
- Plans and prices. The Service is offered in the plans, and at the prices, shown on our pricing page and at checkout (each a “Plan”). Prices are in Singapore dollars (SGD) and exclude GST and other taxes. A Plan may charge per User or per company, and may set a minimum or maximum number of Users, as shown with the Plan.
- Free trial. A new company may use the Service free of charge for 30 days without giving a payment card, with up to 3 Users and the limits shown on our pricing page. A company, e-mail address and mobile number may have one free trial. If an Administrator subscribes during the trial, we charge the first payment at once and the trial ends that day; unused trial days are not added to the subscription. When the trial ends without a subscription, the account is suspended until an Administrator subscribes to a Plan; Administrators can still sign in to do so. We may delete an account that has never subscribed, and its data, 30 days after its trial ends.
- Subscription and renewal. An Administrator subscribes by choosing a Plan, a billing period (monthly or annual) and the number of Users at checkout, which is provided by our payment processor, Stripe. A subscription starts on the day your first payment succeeds, and each billing period runs from that day. It renews automatically for successive periods of the same length, and we charge your payment method at the start of each period, until it is cancelled. An annual Plan is billed once a year, at the price of 10 months. By subscribing, you authorise us and Stripe to charge your payment method for the subscription, for Users you add, and for tax.
- Price changes. We may change the price of a Plan. A change applies from your next renewal, and we will tell you at least 30 days before it takes effect. If you do not accept it, you can cancel before the renewal.
- Taxes. We add Singapore GST, currently 9%, to charges to customers in Singapore. You are responsible for any other taxes that apply to you or to your use of the Service. If the law requires you to withhold tax from a payment, you will increase the payment so that we receive the full amount we would have received without the withholding. Each payment is documented by an invoice or receipt issued through Stripe on our behalf, which shows the tax and serves as our tax invoice; an Administrator can download it from the billing page.
- Changing Users or Plan. An Administrator can change the number of Users or the Plan on the billing page. A change that raises the price per month takes effect immediately: adding a User, moving to a higher-priced Plan, or moving from monthly to annual billing, or to another Plan and billing period whose price per month is higher. We charge the difference for the rest of the current billing period in proportion and credit the unused part of a replaced period; when the billing period changes, a new period starts that day. Removing a User, moving to a lower-priced Plan, and any move from annual to monthly billing take effect at the end of the current billing period, and the current Plan continues until then. While a cancellation is pending, the Plan and the number of Users cannot be changed; an Administrator can resume the subscription first. A Plan’s minimum and maximum numbers of Users apply, and you cannot pay for fewer Users than you have enabled.
- Coupons. We may apply a coupon to your account. A coupon gives a percentage or fixed-amount reduction for a stated Plan, for the number of billing periods stated when it is applied, and may be limited by number of uses or expiry date. A coupon has no cash value, cannot be transferred, and may be withdrawn if it was obtained or used improperly.
- Account credit. We may add credit to your account, for example as a referral reward or to make up for a problem. Credit is applied automatically against your next charges, after tax has been calculated, so it reduces the amount you pay but not the tax shown on the invoice. Credit does not expire, has no cash value, is not paid out or refunded, and cannot be transferred. Credit that remains when your account is deleted ends with it.
- AI Points. A paid Plan includes AI Points for the Service’s built-in AI assistant each billing month, in the amount shown with the Plan; the free trial includes the amount shown on our pricing page for the whole trial. AI Points are used as you use the assistant, are valid only for the billing month in which they are given (or for the trial), do not roll over, have no cash value, are not refundable or transferable, and end when the subscription ends. They are a promotional benefit: we may change or withdraw them by giving you at least 30 days’ notice, and the change applies from your next billing month.
- Failed payments. If a payment fails, Stripe will try again and we will e-mail the billing contact. If the invoice is still unpaid after the last attempt, the account stays fully usable for 7 days, then becomes read-only; if it is still unpaid 30 days after that, it is suspended; and 30 days after that we may archive it. When the account is archived, we cancel the subscription and stop collecting its unpaid invoices; you will not be charged for the period after the last successful payment. To use the Service again, an Administrator subscribes anew. We will e-mail before each step. You can restore access by paying the overdue invoice or updating your payment method. If you dispute a charge with your card issuer, please contact us first; we may suspend the account while a dispute is open.
- Cancellation. An Administrator can cancel the subscription at any time on the billing page. Cancellation takes effect at the end of the billing period you have paid for; you keep access until then and are not charged again.
- Refunds. Fees are charged in advance and are not refunded, including for a part-used billing period or for Users you no longer need, except where the law requires, where these Terms say so (section 13), or where we agree to. We do not issue refunds automatically. If we charged you in error, we will correct it. To ask for a refund, contact us through our contact form; we will decide each request and tell you the outcome. Any refund we approve goes back to the original payment method, or is added as account credit.
- Payment processing. Card payments are processed by Stripe. We do not receive or store your full card number. Your use of Stripe’s checkout and customer portal is also subject to Stripe’s terms, and we are not responsible for the availability or performance of Stripe’s services.
- Priority support. On the Business Plan, we aim to send a first reply to a support request within 4 business hours. Business hours are 9 am to 6 pm Singapore time, Monday to Friday, excluding Singapore public holidays. This is a service target, not a guarantee of a resolution time, and missing it does not entitle you to a refund or credit.
- Custom plans. If we agree custom limits or offline invoicing for your company, the fees, term and payment terms are set out in an order form or invoice, which prevails over this section 10 where they differ.
11. Confidentiality
- Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential (“Confidential Information”). Your Data is your Confidential Information. Information about unreleased features, pricing we share privately, and the security and design of the Service is ours.
- The receiving party will use Confidential Information only to perform or exercise rights under these Terms, will protect it with at least reasonable care, and will share it only with its employees, contractors, service providers and advisers who need to know it and are bound by confidentiality duties at least as protective as these.
- These duties do not apply to information that is or becomes public without fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from a third party without a duty of confidence. A party may disclose Confidential Information where the law requires, giving the other party notice first where the law allows.
12. Intellectual property
- SharkerTech and its licensors own the Service, including its software, design, documentation, templates and trade marks, and all related intellectual property rights. Your Data is excluded.
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right, during your subscription or beta access, for your Users to use the Service for your internal business purposes.
- All rights not expressly granted are reserved. You must not remove proprietary notices or use our names or trade marks without our written permission.
- If you or your Users give us feedback, suggestions or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them for any purpose, without obligation to you. We will not identify you as their source without your permission.
13. Suspension and termination
- Your right to cancel. You can stop using the Service and close your account at any time. For a paid plan, cancellation takes effect at the end of the current billing period, and you will not be charged again.
- Suspension. We may suspend all or part of your access immediately if we reasonably believe that your use breaches section 6, threatens the security, integrity or availability of the Service or other customers, may expose us or others to legal liability, or that suspension is required by law. Where reasonable, we will tell you the reason and give you a chance to fix the problem, and we will restore access once it is resolved.
- Termination for breach. Either party may terminate if the other materially breaches these Terms and does not fix the breach within 14 days after notice, or immediately if the breach cannot be fixed. We may also terminate if you become insolvent or cease business.
- Ending beta access or the Service. We may end your beta access, end the beta, or stop offering the Service by giving at least 30 days’ notice, or at least 90 days’ notice for a paid plan. If fees you paid in advance cover a period after the Service stops, we will refund them for that period.
- Inactive accounts. We may close a free or beta account that has had no sign-in activity for 12 months, after giving the Administrator at least 30 days’ notice.
- After termination. Your right to use the Service ends. You remain responsible for fees incurred up to the date of termination. Section 7 applies to exporting and deleting Your Data. Sections that by their nature should survive, including sections 7, 11, 12, 14, 15, 16, 18 and 20, continue to apply.
14. Disclaimers
We work to keep the Service reliable, secure and accurate. However, to the extent permitted by law, the Service, including beta features and AI Output, is provided “as is” and “as available”, and we exclude all warranties, conditions and representations not expressly set out in these Terms, whether express or implied, including those of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. In particular, we do not warrant that the Service will be uninterrupted, error-free or free of harmful components, that it will meet your requirements or legal obligations, that data will never be lost, or that AI Output will be accurate or complete. You are responsible for checking documents, calculations and figures before relying on them.
Nothing in these Terms excludes any guarantee, right or remedy that the law says cannot be excluded. Where the law allows our liability for breach of such a guarantee to be limited, it is limited, at our option, to supplying the affected services again or paying the cost of having them supplied again.
15. Limitation of liability
- To the extent permitted by law, neither party is liable to the other, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, or for the cost of substitute services, even if it was told such loss was possible.
- To the extent permitted by law, SharkerTech’s total liability arising out of or in connection with these Terms and the Service, for all claims together, is limited to the fees you paid us for the Service in the 12 months before the event that first gave rise to liability, or SGD 100 if you paid no fees in that period.
- The limits in this section do not apply to your obligation to pay fees, your liability under section 16, or your breach of section 6 or section 12.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
- To the extent permitted by law, any claim against SharkerTech must be brought within one year after the claimant became aware, or ought reasonably to have become aware, of the facts giving rise to it.
- These limits are part of the allocation of risk between the parties, which is reflected in the fees.
16. Indemnity
You will defend and indemnify SharkerTech and its officers, employees and agents against third-party claims, and the resulting losses, liabilities, fines and reasonable costs (including legal fees), arising from Your Data, from messages and documents you send through the Service, from your or your Users’ use of AI Output or of applications connected with an Access Token, or from your or your Users’ breach of these Terms or the law. We will tell you promptly about any such claim, let you control its defence, and give you reasonable help at your cost. You may not settle a claim in a way that admits fault on our part or imposes obligations on us without our consent.
17. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify your Administrators by email or in the Service at least 30 days before the changes take effect. We may make changes that are needed for legal, regulatory or security reasons, or that are not adverse to you, with shorter notice or immediately. If you do not agree to a change, stop using the Service and close your account before it takes effect; if you are on a paid plan, you may instead terminate and receive a refund of fees paid for the period after that date. If you continue using the Service after the effective date, you accept the updated Terms.
18. Governing law and disputes
- These Terms, and any dispute or claim arising out of or in connection with them or the Service, including non-contractual disputes, are governed by the laws of Singapore.
- Before starting proceedings, a party must give the other written notice of the dispute, and both will try in good faith to resolve it for at least 30 days. This does not prevent a party from seeking urgent interim relief.
- The courts of Singapore have exclusive jurisdiction over any such dispute. However, SharkerTech may seek injunctive or other urgent relief to protect its intellectual property, Confidential Information or the security of the Service, or recover unpaid fees, in any court of competent jurisdiction.
19. Notices
- We may give you notices by email to your Administrators, or by a notice in the Service. An email notice is treated as received when sent, unless we receive a delivery failure message.
- You may give us operational notices, such as support requests and reports of misuse or unauthorised access, through our contact form. Legal notices, such as notices of breach or of a dispute, must be in writing and sent through our contact form and to our registered office address as shown on the Singapore business register, and take effect when received.
20. General
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign or transfer them, with notice to you, to an affiliate or to a successor in a merger, acquisition, reorganisation or sale of all or part of our business or assets.
- Force majeure. Neither party is liable for failure or delay in performing its obligations, other than payment obligations, caused by events beyond its reasonable control, such as natural disasters, epidemics, war, terrorism, civil unrest, government action, labour disputes, failures of the internet, power or telecommunications, cyber attacks by third parties, or outages of third-party hosting or network providers that could not reasonably have been avoided.
- Export and sanctions. You must comply with export control and sanctions laws that apply to your use of the Service, and you confirm that you and your Users are not subject to sanctions that prohibit us from providing the Service to you.
- Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between us on their subject and replace any earlier agreement, proposal or representation. You have not relied on any statement not set out in them. If they conflict, a signed order form takes priority, then these Terms, then the Privacy Policy. Terms in your purchase order or other documents do not apply.
- Severability. If any provision is held invalid or unenforceable, it applies with the minimum change needed to make it enforceable, and the rest of these Terms remain in effect.
- No waiver. A failure or delay in enforcing a right is not a waiver of it.
- Third-party rights. Except for the persons protected by section 16, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of them.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, agency, employment or fiduciary relationship.
- Language. These Terms are written in English. If we provide a translation of any part of our website, the English version prevails.
- Electronic agreement. These Terms are binding even though they are accepted electronically and not physically signed.
- Effective date. These Terms apply from 20 October 2026 to accounts created on or after that date. For accounts created earlier, they replace the previous terms 30 days after we notify your Administrators under section 17; until then the previous terms continue to apply.
- Questions. For questions about these Terms, use our contact form.
